Terms of Service

1. Who we are; acceptance

The Hosho services are provided by Hosho Private Limited, a company incorporated in Singapore (UEN 202511998N) (“Hosho”, “we”, “us”). By accessing or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you agree on its behalf, you confirm you are authorised to do so, and “you” includes that organisation. You must be at least 18 years old and legally able to enter into this agreement.

2. The Service

The “Service” means the Hosho prompt review services, including (a) the Hosho Prompt Editor web application, (b) the Hosho MCP service callable from your coding agent, and (c) related features such as scoring, findings, suggested edits, quick fixes, version history, and integrations. The Service reviews AI prompts and generates assessments, scores, and suggested edits using large-language models.

We may change, add, or remove features at any time. Features identified as beta, preview, or experimental are provided for evaluation, may be modified or withdrawn without notice, and are provided without any commitment as to availability or performance.

3. Accounts and sign-in

You sign in using a supported identity provider (currently Google). You are responsible for the security of your account and the credentials and devices used to access it, and for all activity under your account. Tell us promptly at the address in Section 16 if you become aware of unauthorised use.

4. Integrations and your own AI agent

GitHub. If you connect a GitHub account or repository, you authorise Hosho to access it within the permission scopes you grant, and to create branches and pull requests as hosho-ai[bot] when you instruct it to. You are responsible for the permissions you grant, for the repositories you connect, and for reviewing any pull request or change before merging or deploying it.

Your agent in the editor. The Service allows your own AI coding agent to join an editor session, receive review results, highlight text, propose changes, and exchange messages with you. Your agent runs on your own systems under your own subscription with your AI provider. Hosho relays messages and session state between your agent and the editor; Hosho does not host, operate, or control your agent or its underlying model, and is not responsible for your agent’s output or conduct. You are responsible for your agent’s actions in a session as if they were your own, and for complying with your AI provider’s terms.

AI providers. The Service uses third-party large-language-model providers to generate reviews. We select and contract with these providers, and we may change providers or models at any time without notice. You agree not to use the Service in ways that would cause Hosho to breach its agreements with these providers; the restrictions that matter for you are set out in Section 6. Where your own agent participates in a session, your use of that agent is governed by your own agreement with your AI provider, not by Hosho’s.

5. AI output is advice, not a guarantee

Reviews, scores, findings, and suggested edits are generated automatically and may be incomplete, inaccurate, or unsuitable for your purpose. They are informational only. You are responsible for reviewing, testing, and deciding whether to apply any output, including any change applied with one click or merged via a pull request. Do not rely on the Service as your sole safeguard for any prompt that affects safety, security, legal, financial, or other significant outcomes.

6. Acceptable use

You agree to:

  • submit only content you have the right to submit, and not submit content that is unlawful, infringing, or that contains malicious code;
  • not use the Service unlawfully, to infringe others’ rights, or to attempt to breach, disrupt, overload, probe, scrape, or reverse-engineer the Service or its underlying systems;
  • not submit content, or use the Service or its output, for purposes that are illegal or harmful - including generating or improving prompts intended to produce child sexual abuse material, facilitate violence or weapons development, or deliberately deceive or defraud others;
  • not use the Service to develop a competing prompt-assessment product, or attempt to extract the Service’s scoring methodology, assessment principles, or underlying models other than through normal use; and
  • respect any usage or rate limits we apply.

You are responsible for the prompts and content you submit and for your use of any output.

7. Plans, fees and payment

The Service has a free plan and paid plans. What each plan includes - the number of review runs and PR reviews a month - is set out at editor.hoshoai.com/pricing and forms part of these Terms. Allowances are monthly, reset on the first day of each calendar month (UTC), belong to your organisation rather than to an individual user, and do not roll over.

Paid plans are billed monthly in advance, in US dollars, and renew automatically each month until cancelled. Prices exclude any taxes that may apply. Hosho Private Limited is not currently registered for GST, so no GST is charged. Payments are processed by Stripe; we do not receive or store your card details. An invoice is issued for each payment and is available at any time from the billing portal in your account.

You may cancel at any time from the billing portal in your account. Cancellation takes effect at the end of the billing period you have already paid for: you keep your paid plan until then, and are not charged again. We do not provide refunds for partial months, except where required by law or where we have made a billing error - if you think we have, email us and we will put it right.

If a payment fails we will retry it for a period, and your plan continues while we do. If it is still unpaid when the subscription ends, the organisation returns to the free plan; your prompts, reviews and history are not deleted. We may change prices or what a plan includes, and will give you at least 30 days’ notice by email before a change affects what you pay. If you do not accept a change, you may cancel before it takes effect.

8. Your content and output

Ownership. You keep all rights to the content you submit.

Licence to us. You grant Hosho the limited licence needed to operate the Service for you: to host, store, process, and display your content back to your workspace; to transmit it to our AI providers to generate your review; to maintain version history and review state (including which findings you have accepted or dismissed) so results persist across sessions and surfaces; and to create branches and pull requests in your repositories when you instruct it. We handle your content as described in the Privacy Statement.

Output. To the extent Hosho holds any rights in the assessments, scores, and suggested edits generated for you, we license them to you to use for any purpose. Because output is generated by AI, similar output may be generated for other users, and no exclusivity is promised.

Feedback. If you give us feedback or suggestions, we may use them without restriction or obligation to you.

9. Hosho’s intellectual property

The Service - including its software, design, scoring model, macro factors, sub-factors, and assessment principles - is owned by Hosho and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service, and no other rights.

10. No warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output will be correct or fit for your purpose. Nothing in this section limits any rights you have under applicable law that cannot lawfully be excluded.

11. Liability

What we do not exclude. Nothing in these Terms excludes or limits Hosho’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law, including the Unfair Contract Terms Act 1977 of Singapore.

What we exclude. Subject to the paragraph above, and to the maximum extent permitted by law, Hosho will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, under any theory of liability (including contract, tort, and negligence), even if advised of the possibility.

Cap. Subject to both paragraphs above, Hosho’s total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (a) the amounts you paid Hosho for the Service in the 12 months before the event giving rise to the claim, and (b) SGD 100.

Who benefits. Hosho’s directors, officers, employees, contractors, affiliates, and suppliers may rely on and enforce this Section 10 under the Contracts (Rights of Third Parties) Act 2001 of Singapore. Except for this, no one other than you and Hosho has any rights under these Terms.

12. Indemnity

You will indemnify Hosho against third-party claims, losses, and reasonable costs to the extent they arise from the content you submit, from repository access or changes you authorise or instruct, or from your use of the Service in breach of these Terms.

13. Suspension and termination

We may suspend, restrict, or stop providing the Service, or terminate your access, at any time, including to protect the Service or its users or to comply with law. Where reasonably practicable we will give you notice. You may stop using the Service at any time and delete your data from Settings. Sections that by their nature should survive - including Sections 5, 7, 8, 9, 10, 11, and 14 - survive termination.

14. Changes to these Terms

We may update these Terms. We will update the effective date above and, for material changes, give you reasonable advance notice in-app or by email. Continuing to use the Service after a change takes effect means you accept the updated Terms; if you do not agree, stop using the Service before the change takes effect.

15. General

These Terms and the Privacy Statement are the entire agreement between you and Hosho about the Service. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Hosho is not liable for delay or failure caused by events beyond its reasonable control.

16. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to the Service or these Terms, except that nothing prevents you from relying on mandatory consumer protections of the country where you live, where those apply and cannot be excluded.
